H2C TRANSACTION ANNOUNCEMENT

H2C Acts as Exclusive Financial Advisor on Institutes of Health Recapitalization

January 2024

NEW YORK — H2C Securities Inc. (H2C), a healthcare-focused strategic advisory and investment banking firm, served as the exclusive financial advisor to Institutes of Health (IOH) on its majority recapitalization with Latticework Capital Management, a Dallas-based private equity firm.

At the outset, H2C worked with IOH’s team to understand the unique business model, growth prospects, and the founder’s ideal timeline. In conjunction with Fifth Third’s financial sponsor team, H2C crafted a unique buyer set that would achieve the founder’s goals. H2C educated buyers on IOH’s distinctive platform and significant growth potential, while finding a capital partner that appreciated and respected the importance of the strong culture cultivated by the founders.

“We couldn’t be happier with the results of this transaction process. H2C’s leadership and guidance provided a unique perspective to our founders and helped us successfully execute this recapitalization. IOH looks forward to entering this next chapter with Latticework,” said Elic Anbar, CEO and co-founder of IOH.

H2C managed the marketing, due diligence process and assisted with the transaction documents, which facilitated closing in less than 8 months.

“This transaction allows H2C to build upon our robust healthcare services transaction experience and serve a client that we have known for many years,” said PJ Camp, managing director for H2C. Email PJ.

“Our targeted marketing process identified the ideal partner for IOH and positions the company for future success. We were honored to work with IOH and Latticework on this transaction,” said Michael Tierney, executive director for H2C. Email Michael.

By partnering with Latticework, IOH will continue to offer best-in-class treatments to a complex patient population, while pursuing growth opportunities in both their current footprint and new markets.
